1. GENERAL

Access to and use of this website (unitedco.com.au), the United Coworking mobile application, United Co. portals, digital platforms, premises networks and any products or services made available by United Co. Pty Ltd (ABN 50 955 225 652) (collectively, the “Services”) are subject to these Terms of Service (“Terms”).

United Co. seeks to operate its Services and premises in a responsible, sustainable and community-oriented manner for the benefit of members, staff, partners and the broader community.

By accessing or using the Services, you agree to comply with these Terms, as updated from time to time. If you do not agree to these Terms, you must not access or use the Services.

We may update these Terms from time to time by publishing revised Terms on our website. Continued use of the Services following any update constitutes acceptance of the revised Terms.

Access to the Services may be modified, suspended or withdrawn in accordance with these Terms. We may modify, suspend, withdraw or discontinue any part of the Services at any time without notice.

We do not guarantee uninterrupted or error-free access to the Services. Maintenance, upgrades, outages, third-party supplier failures, internet disruptions or security incidents may affect availability from time to time.

We grant you a limited, non-exclusive, non-transferable and revocable licence to access and use the Services for lawful business and personal purposes in accordance with these Terms.

Where a separate written agreement applies to specific products or services provided by United Co., including membership agreements, office agreements, event agreements or booking terms, that agreement will prevail to the extent of any inconsistency with these Terms.

By using the Services, you acknowledge that you have read and understood our Privacy Policy and consent to the handling of your information as described in that policy.

You warrant that any information provided by you is accurate, current and complete.

3. ACCEPTABLE USE AND PROHIBITED CONDUCT

You must use the Services only for lawful and authorised purposes and in a manner that does not interfere with the operation, security or integrity of the Services, our premises, systems, networks or other Members and Users. United Co. encourages respectful, inclusive and responsible participation within its community and shared environments.

You must not:

  • commit or encourage unlawful, fraudulent or misleading conduct;
  • misuse, disrupt, damage or interfere with the Services, networks, systems or infrastructure;
  • attempt unauthorised access to any systems, accounts, networks or data;
  • transmit viruses, malware, ransomware, spyware or other harmful code;
  • engage in network abuse, excessive bandwidth usage, automated scraping, penetration testing or denial-of-service activity without our prior written consent;
  • use the Services for offensive, abusive, discriminatory, threatening, defamatory or harassing conduct;
  • infringe the intellectual property or privacy rights of any person;
  • send unsolicited marketing or spam communications;
  • use the Services in connection with illegal, regulated or prohibited activities;
  • resell, sublicense or commercially exploit the Services without written approval;
  • share account credentials or permit unauthorised access to portals or digital systems;
  • interfere with the quiet enjoyment, safety or operations of our premises or community.

The User/Member must comply with all applicable laws and regulations in connection with the use of United Co. Services.

Members and Users must take reasonable steps to maintain the confidentiality and security of account credentials and promptly notify United Co. of any suspected unauthorised access, misuse or security incident.

United Co. may suspend, restrict or terminate access to any Services immediately where we reasonably believe there has been:

  • a breach of these Terms;
  • unlawful conduct;
  • misuse of our systems or premises;
  • non-payment of fees;
  • security risks; or
  • conduct that may negatively affect United Co., its members, guests, staff or operations.

4. INTELLECTUAL PROPERTY, SOFTWARE AND CONTENT

Intellectual Property

All intellectual property rights in the Services, including this Website, the United Co. mobile application, portals, software, systems, branding, trademarks, trade names, logos, designs, text, graphics, content and other materials made available by United Co. (“United Co. Content”) remain the property of United Co. or its licensors and are protected by applicable copyright, trademark and intellectual property laws.

United Co. grants you a limited, non-exclusive, non-transferable and revocable licence to access and use the United Co. Content solely for your own lawful business or personal use in accordance with these Terms.

Except as permitted by law or with United Co.’s prior written consent, you must not:

  • reproduce, publish, distribute, modify, adapt, display or commercially exploit any United Co. Content;
  • use any United Co. branding, trademarks or logos;
  • copy, scrape, reverse engineer or extract data, software or content from the Services; or
  • use United Co. Content in connection with any commercial activity, advertisement or public representation that suggests endorsement, partnership or association with United Co. where none exists.

Members and Users must not use or reference the United Co. name, branding, trademarks or logos in advertising, promotional materials, media, public statements or marketing activities without United Co.’s prior written approval.

Confidentiality

Members and Users may receive access to confidential or proprietary information relating to United Co., its operations, staff, members, users, suppliers or business activities (“Confidential Information”).

You agree to:

  • keep Confidential Information confidential and secure;
  • use Confidential Information only for authorised purposes connected with the Services; and
  • not disclose confidential information to any third party without prior written consent, except where required by law.

These confidentiality obligations continue after the termination or expiry of any membership, booking, agreement or use of the Services.

Account & Portal Security

United Co. may provide access to portals, applications, networks or digital systems using individual login credentials.

Members and Users are responsible for maintaining the confidentiality and security of account credentials and for all activities conducted through their accounts.

You must:

  • take reasonable steps to prevent unauthorised access to your account or credentials;
  • immediately notify United Co. of any suspected unauthorised access, credential compromise or security incident; and
  • promptly update passwords or access credentials where required.

Members and Users may be responsible for losses or damages arising from unauthorised use of their account or portal where caused by failure to maintain the security of login credentials or comply with these Terms.

Respectful & Inclusive Conduct

United Co. seeks to maintain inclusive, respectful, safe and professionally operated environments across its physical and digital Services.

Members and Users must not engage in conduct that is discriminatory, abusive, threatening, harassing, disruptive or otherwise inconsistent with the safe operation, wellbeing or reasonable enjoyment of the Services, premises or community.

5. DATA & ANALYTICS

United Co. may collect operational, usage, analytics and system data relating to use of the Services for security, operational improvement, reporting, planning and service optimisation purposes in accordance with our Privacy Policy.

6. AUTOMATED SERVICES & AI

Certain Services may incorporate automated systems, analytics or AI-assisted functionality. While we seek to ensure reasonable accuracy and reliability, automated outputs may not always be complete, accurate or suitable for your specific circumstances and should not be solely relied upon without appropriate human review or independent assessment.

7. DISCLAIMER OF LIABILITY

To the fullest extent permitted by law, the Services and all materials made available through the Services are provided on an “as is” and “as available” basis without warranties, guarantees or representations of any kind, whether express or implied.

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy conferred by the Competition and Consumer Act 2010 (Cth) or any other applicable law that cannot lawfully be excluded, restricted or modified.

Subject to the above paragraph, United Co. excludes all liability for any indirect, incidental, consequential, special or punitive loss or damage, including loss of profits, business interruption, loss of data, reputational harm or loss of opportunity arising from or connected with the use of, or inability to use, the Services.

United Co. is not responsible for:

  • third-party platforms, systems or providers;
  • interruptions, outages or security incidents;
  • unauthorised access to user accounts arising from user conduct or credential misuse;
  • errors, inaccuracies or omissions in content;
  • reliance on automated or AI-assisted outputs.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud or any other liability that cannot lawfully be excluded.

8. SERVICE AVAILABILITY

We may perform maintenance, upgrades, repairs or security-related work affecting the Services from time to time.

United Co. does not guarantee continuous, uninterrupted or secure access to the Services and will not be liable for delays, outages, interruptions or failures caused by:

  • internet or telecommunications failures;
  • software or hardware failures;
  • third-party service providers;
  • cybersecurity incidents;
  • utility interruptions; or
  • events beyond our reasonable control.

9A. LINKING TO THIS WEBSITE

You may link to our home page, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. You must not establish a link from any website that is not owned by you. This Website must not be framed on any other site, nor may you create a link to any part of this Website other than the home page. We reserve the right to withdraw linking permission without notice.

9B. LINKS FROM OTHER WEBSITES

If we link to other websites, we take no responsibility for the content of, and make no representations as to the accuracy of any third-party websites we may link to from this Website.

You agree to indemnify and hold harmless United Co., its directors, officers, employees, consultants, agents, and affiliates, from any and all third party claims, liability, damages and/or costs (including, but not limited to, legal fees) arising from your breach of these Terms, unlawful conduct, misuse of the Services, or infringement of any third-party rights.

11. VARIATION

United Co. may amend, modify, suspend or discontinue any part of the Services where reasonably necessary for operational, legal, security or business purposes, including maintenance, upgrades, compliance or risk management activities.

United Co. uses personally identifiable information for essential communications, such as emails, accounts information, and critical service details. 13. PROVIDING INFORMATION

Where lawful and practical, you may choose to interact with us anonymously or using a pseudonym. However, certain Services require accurate identifying information to enable memberships, bookings, access control, payments, operational management and compliance with legal obligations.

If you do not provide requested information, we may be unable to provide some Services or access to certain facilities.

14. ONLINE CREDIT CARD TRANSACTIONS

United Co. uses reputable third-party payment providers, including Stripe, to process online payments securely.

Payment processing fees or surcharges may apply depending on the payment method used and may change from time to time in accordance with the relevant payment provider’s pricing.

Applicable fees or surcharges, where required, will be disclosed at or before the time of payment.

United Co. does not store complete credit card details on its systems.

15. TRIAL SERVICE FAIR USE POLICY

Our Trial Services or Plans are provided for the express purpose of allowing you to use some of our products and services on a temporary, short-term basis to see if they are fit for use for your ongoing professional operations.  Trial Services and Plans are provided to the user at no charge for the standard inclusions of the Plan only.  Additional services provided above the standard inclusions of the plan are charged to the user at the published rate.

Access to our Trial Services is provided on request for a short period of time (trial term).  The trial term will normally last for either 30 or 60 days as defined by the plan, but may be terminated at any time in accordance with these Terms of Service.  At the end of the Trial Period your access to the Trial Services will be disabled.  Once the trial term ends we may delete all data relating to your usage of the Trial Services, including any content you enter into our Trial Services, without further notice to you.

You must:

a) use the access to the Trial Services for the express purpose for which it is provided;

b) follow any policies and rules made available to you within the Terms and Conditions or Agreements agreed to upon registration of the Trial Service and any written directions issued by us, including those available in the Trial Services and/or issued by email;

c) not use the Trial Services for any promotional or advertising campaign or for the purpose of managing a short term project only with no intent of using the services beyond the term of the Trial Services.

We may:

a) suspend or stop providing our Trial Services to you if you do not comply with our terms or policies;

b) suspend or stop providing our Trial Services to you while we are investigating suspected misuse of our Trial Services;

c) suspend or stop providing our Trial Services in order to protect the integrity of our operations;

d) choose, where appropriate, to notify you of the reason why our Trial Services have been suspended or stopped;

e) shorten or end the Trial Service Term with immediate effect where we reasonably determine that a Members and Users’s usage is excessive, abusive, inconsistent with the intended purpose of the Trial Services or otherwise unreasonable.

16. WAIVER

If you breach these conditions and we take no action, we will still be entitled to use our rights and remedies in any other situation where you breach these conditions.

17. FORCE MAJEURE

United Co. is not liable for any delay, interruption or failure to perform obligations under these Terms where such delay or failure arises from events beyond our reasonable control, including natural disasters, utility failures, internet outages, pandemics, government actions, labour disputes, cybersecurity incidents or third-party supplier failures.

18. GOVERNING LAW AND JURISDICTION

These terms and conditions are to be construed in accordance with the laws of Victoria, Australia and in the event of any dispute or claim associated with these terms and conditions, that dispute or claim shall be subject to the exclusive jurisdiction of Victoria, Australia.

19. ENTIRE AGREEMENT

The above Terms of Service constitute the entire agreement of the parties and supersede any and all preceding and contemporaneous agreements between you and United Co. Any waiver of any provision of the Terms of Service will be effective only if in writing and signed by a Director of United Co.
