Virtual Membership Terms of Service

1. TERMS OF SERVICE

1.1 Preamble

The United Co. Virtual Plans Terms of Service (the “Terms”) govern the access and use of all virtual services and products offered by the Trustee for the United Co. Investment Trust (“United Co.”) (ABN 50 955 225 652). The Terms constitute a legally binding agreement between United Co.  and any individual or entity that accesses or otherwise uses or receives any virtual services or products (“Member”).  The Terms apply to the Member’s use of all virtual services offered by United Co. (“virtual services”).  United Co. may from time to time change the Terms, and any other terms or conditions appearing on the United Co. website that may be referred to in the Terms.

1.2 Hours of operation

United Co. will provide the services to the Member between 8:30am and 5:30pm, Monday to Friday. All locations will be closed on public holidays as well as the days between the last business day prior to Christmas Day until the 1st business day after New Year. 

2. SIGN-UP

2.1 Account 

The Member must complete their registration with United Co. before receiving any United Co. virtual services. Registration may include account set up, direct debit arrangement, Agreement to these Terms and submission of identification documentation.  After successful registration, United Co. will establish access for the Member to the Member’s Portal with individual login credentials.  The Member will keep the credentials that can be used to access the Member’s Portal confidential and will not share with any third party.  The Member takes full responsibility for all activities conducted through the Member’s Portal.  The Member will be liable for all losses and damages arising from any use or misuse of the Member’s Portal. If the Member believes that there has been any unauthorised access to the Member’s Portal and that any third party knows their login credentials, the Member will immediately change the Member’s Password and notify United Co. 

2.2 Telephone Number

After the Member registers with United Co. for a telephone service, United Co. will assign to the Member a unique telephone number for use with United Co. virtual services provided to Member. To the extent not prohibited by applicable law or regulation, in the event that any Trial Service or United Co. Paid Service (as defined in these Terms) is terminated, United Co. may retain the assigned telephone number for use as it sees fit.

 3. TRIAL SERVICE

3.1 Trial Period

Subject to the Terms, United Co. may provide to the Member a virtual service (“Trial Service”) during a period commencing on the Member’s registration with United Co., the scope and details as determined by United Co. and expiring within a number of days specified by United Co., which period may be extended or shortened by United Co. in its discretion (such period, “Trial Service Term”). The Trial Service is not applicable for prior or current Members of United Co., casual Members or new Members that require United Co. Services for promotional or advertising campaigns.

3.2 Trial Usage Charges

At no charge to the Member, United Co. will provide the Member with usage of the Trial Service. The Member acknowledges and agrees that the amount of the Trial Usage will be determined by and may be changed by, United Co.  in its discretion.  

3.3 Termination of Trial Service

Upon expiration of the Trial Service Term, or commencement of any United Co. Paid Services (as defined in these Terms), United Co. will terminate the Trial Service.  After the termination of the Trial Service, unless canceled by written notice from the Member prior to the end of the trial service, United Co. Paid Services will be automatically activated in order to continue to receive services from United Co. . The Member cannot activate a second trial service after the completion of a free trial service term.

 

4. PAYMENTS

4.1 Pricing 

The charges for each United Co.  Paid Service may include (a) subscription charges that do not vary based on the Member’s usage of the United Co. Paid Service (“Subscription Charges”) and/or (b) incremental charges that are incurred based on the Member’s usage of the United Co. Paid Service, ie. services that are not specified in the plan inclusions or services above the level of services specified in the plan inclusions. The charges for the United Co. Paid Services are set forth in the price list on the United Co. Website and below in these Terms, both of which may be revised and updated by United Co. from time to time. All prices quoted exclude GST.  Any consideration to be paid or provided to for a supply made under or in connection with this licence, unless specifically described in this licence as GST inclusive, does not include an amount on account of GST.

4.3 Credit Card Payment Processing

The Member hereby authorises United Co. to submit charges to the Member’s Credit Card as permitted under these Terms. Notwithstanding anything to the contrary, United Co. may, at its discretion, require that (a) a different credit card be provided as the Member’s Credit Card, or (b) any amount United Co. is permitted to charge to Member’s Credit Card be paid by the Member using a method of payment other than the Member’s Credit Card, e.g. electronic funds transfer.

United Co. uses Stripe Payment Gateway for its online credit card transactions.  Stripe charges a credit card surcharge fee of 1.75% + A$0.30 for domestic cards and 2.9% + A$0.30 for international cards.  Surcharges are subject to change as dictated by Stripe, please visit https://stripe.com/en-au/pricing for current pricing.  Applicable credit card surcharges will not be shown on the Member invoice.

Subscription Charge may be charged to the Member’s Credit Card in advance of the Paid Service Term. With respect to any Selected Paid Service that does not commence on the 1st of the month, the Subscription Charge for such Paid Service Term will be prorated and charged to Member’s Credit Card when United Co. starts providing such Selected Paid Service.

4.4 Usage Charges

(a) For each Selected Paid Service, all Usage Charges incurred by the Member in excess of the usage allowances included in the Pricing Plan selected by the Member (“Excess Usage Charges”) will be deducted automatically from the Member’s credit card on the earlier of either the end of the month, or once excess usage cost of $200 (exclusing GST) is reached.  

4.5 Pricing Plan Changes

The Member may request to change the Pricing Plan it selected for any Selected Paid Service to a different Pricing Plan. An upgrade can occur on the first day of the next Paid Service Term.  A downgrade will require 2 full months notice (2 Paid Service Terms).  Changes will not be activated part way through the Paid Service Term.

4.6 Other Payment Terms 

All amounts payable by the Member under these Terms will be charged to Member’s Credit Card and paid in Australian dollars. If any amount payable by the Member under these Terms is not paid when due (including, without limitation, due a charge to Customer’s Credit Card being declined or initially accepted but subsequently reversed), (a) the Member may be charged penalty or interest fees at the highest rate permitted by law until such amount is paid in full, and (b) the Member will be responsible for all reasonable expenses (including collection and legal fees) incurred by United Co. in collecting such amounts.

4.7 Unwanted Calls

United Co. does not take any responsibility for any inbound calls, communications (communications meaning web chat, blog comments, social media private messages or other) or emails including, without limitation, any calls, communications or emails from (a) telemarketers or promotional companies, (b) callers who misdialed, or (c) or callers who do not leave messages. Such calls, emails, or communications qualify as inbound calls, emails, or communications and may result in Usage Charges under the applicable Pricing Plans.

4.8 Revisions to Prices

United Co. may revise the Price List or charges set forth in these Terms from time to time. Such revisions may include, without limitation, changes to the amounts of the Subscription Charges or Usage Charges for United Co. Paid Services, changes to the usage allowances included in the Pricing Plans, and discontinuation of Pricing Plans.

(a) Such revision will take effect immediately upon being posted to the United Co. Website, except that any such revision that affects a Selected Paid Service will apply to the Member starting at the commencement of a Paid Service Term (for clarity, the beginning of the month) beginning no less than thirty (30) days from the date which United Co. provides notice of such revision to a Member. If a Member does not agree to any such revision, the Member may terminate the affected Selected Paid Services and discontinue its use of such Selected Paid Services. If the Member does not terminate its use of any affected Selected Paid Service prior to the effective date of such revision, the Member will be deemed to have agreed to such revision with respect to such Selected Paid Service.

(b) If a Pricing Plan selected by a Member is discontinued, the Member will select a new Pricing Plan from then-current pricing plans offered by United Co. If the Member does not select a valid new Pricing Plan prior to the effective date of such discontinuation, then United Co. may either (i) suspend the affected Selected Paid Service until the Member selects a valid new Pricing Plan or (ii) select a valid new Pricing Plan on the Member’s behalf.

4.9 Changes to Services or Terms

United Co. may from time to time make changes to any Selected Paid Service (including, without limitation, the scope, nature and other details of such Selected Paid Service), these Terms or any other terms or conditions appearing on the United Co. Website that may be referred to in these Terms, in each case by providing notice to the Member. Change will be effective on the date of such notice if such change is made by United Co. to comply with any applicable laws or to address any actual or potential third party claims, or if such notice is provided to the Member during the Trial Service Term; otherwise, it will be effective at the start of the Paid Service Term (for clarity, the beginning of the month). If the Member does not agree to such change, the Member may terminate the affected Selected Paid Services and discontinue its use of all other affected United Co. Offerings. If the Member does not terminate such Selected Paid Services and discontinue its use of all other affected United Co. Offerings prior to the effective date of such change, the Member will be deemed to have agreed to such change. For avoidance of doubt, this paragraph does not apply to changes to the Price List.  

5. OTHER OBLIGATIONS OF THE MEMBER

5.1 Information Provided by the Member 

The Member represents that all information provided by the Member to United Co. (including, without limitation, all contact information and information regarding Member’s Credit Card) is accurate, up-to-date and complete at the time it is provided to United Co. The Member will update all such information so that it remains accurate, up-to-date and complete at all times.

5.2 Forwarding Phone Numbers 

Some United Co. Offerings may involve the forwarding of calls or messages to phone numbers specified by the Member (“Forwarding Telephone Numbers”). The Member represents that all Forwarding Telephone Numbers are under the Member’s direct control, and the Member will not direct United Co. to forward calls or messages to any phone numbers not under the Member’s direct control. In addition, the Member acknowledges and agrees that United Co. will have the right to refuse to forward calls and messages to any telephone number in United Co.’s discretion, in which case the Member will need to provide a different telephone number to receive forwarded calls and messages.

5.3 Compliance with Laws 

The Member will at all times comply with all applicable laws and regulations in connection with its use of United Co. Offerings. The Member will not use any United Co. Offerings to engage in, or to encourage or assist others to engage in, any illegal or fraudulent activities.

5.4 United Co. Trial Service Fair Use Policy 

In connection with its use of United Co. Offerings, The Member will at all times comply with United Co.’s Trial Service Fair Use Policy. The Fair Use Policy pertains to the Member’s usage during the Trial Service Term. Under the Fair Use Policy United Co. may shorten or end the Trial Service Term of the Member with immediate effect should it determine, at its absolute discretion, that the Member’s usage is in any way unreasonable. 

5.5 Other Prohibited Activities 

The Member will not, and will have no right to:

(a) sell, resell or otherwise provide any United Co. Offerings to third parties, or use or otherwise exploit any United Co. Offerings for the purpose of selling or otherwise providing to third parties the benefit of any United Co. Offerings or any products or services that are similar to any United Co. Offerings; or

(b) overburden, disable or otherwise disrupt any United Co. Offerings or interfere with the use of any United Co. Offerings by any other United Co. Members.

5.6 Indemnification

(a) The Member will indemnify, defend, and hold harmless United Co. and its employees and agents from and against all liabilities, damages, and costs (including settlement costs and reasonable legal fees) arising out of any breach by the Member or any third-party claim relating to any of the Member’s products, services or businesses.

(b) United Co. will not, in any circumstances, have any liability for loss of business, loss of profits, loss of anticipated savings, loss of or damage to data, third party claims or any consequential loss unless United Co. otherwise agrees in writing. United Co. advises you to insure against all such potential loss, damage, expense or liability. 

(c) In all cases, United Co’.’s liability is limited to one monthly fee.

6. SERVICE SUSPENSION

6.1 Insufficient Funds 

United Co. may suspend the performance of any or all Selected Paid Services if any charge submitted by United Co. to Customer’s Credit Card as permitted under these Terms is declined or is initially accepted but subsequently reversed, or any amount payable by the Member under these Terms is not otherwise paid when due.

6.2 Emergency Suspension

United Co. may suspend the performance of any or all Selected Paid Services and disable the Member’s access to the Member’s Account and any United Co. Offerings if United Co. has any reason to believe that (a) the Member has committed any breach of these Terms or has engaged in any activity that could disrupt any United Co. Services, or (b) there has been any unauthorised access to the Member’s Account or unauthorised use of any United Co. Service in the Member’s name.

7. SERVICE TERMINATION

7.1 Termination by Member

The Member may terminate any or all of the Selected Paid Services once the term of the Agreement has ended by sending United Co. an email to [email protected] that identifies the Selected Paid Services to be terminated and the date on which Member desires such termination to take effect (“Requested Termination Date”), which date will be no earlier than thirty (30) days after the date such email is sent and on the last day of the month.   If a new Paid Service Term starts prior to the effective date of such termination, Customer will incur the applicable Membership Charge for the new Paid Service Term (month).

7.2 Termination by United Co.

(a) For Cause 

United Co. may terminate any or all Selected Paid Services if the Member commits any breach of these Terms and fails to remedy such breach within five (5) days, or the Member ceases conducting business in the normal course, becomes insolvent, makes a general assignment for the benefit of creditors, sufferers or permits the appointment of a receiver for its business or assets, avails itself of or becomes subject to any petition or proceeding relating to insolvency or the protection of the rights of creditors, or any other insolvency or bankruptcy proceeding or other similar proceeding for the settlement of the Member’s debt is instituted.

(b) For Convenience

United Co. may terminate for convenience any Selected Paid Service by providing notice to the Member in accordance with these terms. Such termination will be effective immediately if such Selected Paid Service is terminated by United Co. to comply with any applicable laws or to address any actual or potential third-party claims; otherwise, it will be effective at the end of the Paid Service Term in which such notice is delivered.

7.3 Effect of Termination

(a) Subscription Charges

United Co. will have no obligation to refund any Subscription Charges paid by Customer for any Selected Paid Service upon any termination thereof.

(b) Phone Calls and Messages 

Following termination of any United Co. Service, United Co. will not be responsible in any way for answering calls, taking or delivering messages, accepting mail or packages or performing any other activities in connection with such United Co. Service.

(c) Customer’s Account

Upon termination of all United Co. Services, United Co. may terminate Customer’s Account and Customer’s access thereto.

(d) Customer Data

United Co. will have no obligation to retain any data or other information (including, without limitation, any messages or call logs) obtained or generated by United Co. in connection with any United Co. Service after termination of such United Co. Service.

(e) Service Reinstatement 

Following termination of any United Co. Service, United Co. will have no obligation to reinstate or otherwise recommence such United Co. Service. If United Co. elects (in its discretion) to reinstate or otherwise recommence a terminated United Co. Service, United Co. may require that the Member pay a reinstatement fee of $50.00.

8. VIRTUAL PERSONAL ASSISTANT GUARANTEE

8.1 Ownership

All deliverables, ideas, inventions, improvements, methods, processes, works of authorship and other forms of intellectual property that United Co. conceives, produces or develops during the term of the Agreement, alone or in conjunction with others, in connection with performance of the Services, including any intellectual property rights of any kind (collectively, the ‘Work Product’), will be the sole and exclusive property of The Member. United Co. hereby irrevocably assigns to The Member all right, title and interest worldwide in and to the Work Product and all intellectual property rights therein.

8.2 Confidentiality

In consideration of disclosing to United Co. certain confidential information comprising of intellectual property, business plans, products, product intentions, documents, methods of operation and information in any form or media, relating to the same for the purpose of conducting discussions or undertaking work, United Co. undertakes as follows:

(a) To treat the confidential information as secret and confidential and will not, except with the prior written consent of The Member make use of the same other than for the purposes of undertaking specified work as agreed with The Member nor disclose the same to any Third Party except, and only to extent necessary, to such of its employees or agents who shall have been aware that the same is confidential and bound to treat it as such, provided however, that this undertaking shall impose no obligation with respect to any information.

(b) That any/all samples, prototypes, software, hardware, materials, designs, drawings, and other documents, which are supplied for the purposes of discussions, or undertaking work will remain the property of The Member and United Co. will return them upon completion of the work or discussions within fourteen days of receipt of the request. In such an event United Co. will not retain any copy of any part of confidential information in any form or media.

(c) That except to conduct discussions, or undertake works, United Co. has no licence or right commercially to use the confidential information.

EXCEPTIONS

United Co’s obligations with respect to any portion of The Member Information as set forth above shall not apply when United Co. can document that: 

  1. it was in the public domain at the time it was communicated to United Co. by The Member; 
  2. it entered the public domain subsequent to the time it was communicated to United Co. by The Member through no fault of United Co.; 
  3. it was in United Co’s possession free of any obligation of confidence at the time it was communicated to United Co. by The Member; or 
  4. it was rightfully communicated to United Co. free of any obligation of confidence subsequent to the time it was communicated to United Co. by The Member.

PASSWORDS

Should The Member decide to grant United Co. access to The Member’s business and/or personal accounts, The Member does so entirely at their own risk, and The Member is fully responsible for ensuring the security of The Member’s data.

8.3 Work Product Conformity

If The Member determines in its sole discretion that the Work Product does not conform to the reasonable expectation, The Member shall inform United Co., within 2 working days of the Work Product delivery, of such nonconformity and United Co. will repair or replace the Work Product without extra charge. If The Member does not voice any concerns within 2 working days, United Co. is not obligated to do any remedial work free of charge. If The Member’s request goes beyond the initial specifications provided by The Member, the request will not be considered a remedial request and United Co. will inform and bill The Member with regards to the requested changes.

 

9. VIRTUAL BUSINESS ADDRESS

9.1 Unique Business Address

(a) Upon activation of the Virtual Business Address membership or Virtual Office membership, United Co. will provide the Member with a Unique Business Address (‘The Address’) which is individual to the Member with a unique prefix to the address 425 Smith Street, Fitzroy Victoria 3065; and the authority to use The Address as the Member’s registered office, virtual business address, registered address, virtual office address or for any other legal business purposes while the membership and service fees remain paid in full.

(b) The Member is not permitted to use the business address 425 Smith Street, Fitzroy Victoria 3065 without the unique prefix which is individual to the member and provided by United Co.

(c) The Member may use The Address for business purposes only.  One membership provides the right of use of The Address for one company only. Each additional company must register for an additional membership.  The Member may not transfer the membership or The Address to another party or company.

(d) The Membership and service creates no tenancy interest, leasehold estate or other real property interest in favour of the Member with respect to The Address.

9.2 The Service

(a) United Co. is to provide the Unique Business Address for use by the Member as stated above.

(b) Under these Terms, the Member authorises United Co. to accept and handle the Member’s mail and deliveries, and as instructed by the Member in writing, to either open/scan/email, forward or hold securely for collection.  Refer to the Summary of Charges section of these Terms for details on applicable charges.

(c) The Member authorises United Co. to debit the credit card on file for additional charges incurred and invoiced, on the invoice date.

(d) United Co. reserves the right to withhold services while there are any outstanding invoices, fees and/or interest or where the Member is in breach of these Terms.

9.3 Compliance

(a) The Member must comply with all relevant laws and regulations in the conduct of their business and use of The Address. The Member must not conduct any illegal activity in connection with their use of The Address. The Member must not do anything that may interfere with the use of The Address by United Co. or by others, cause any nuisance or annoyance, or cause loss or damage to United Co. including damage to reputation. 

(b) The Member acknowledges that any violation of any clause of these Terms will constitute a material default under these Terms, entitling United Co. to terminate the Membership without further notice or procedure.

9.4 Ending the Service

(a) Deliveries and mail will not be accepted at The Address once the membership has been terminated or is under suspension.  Deliveries and mail will be returned to the sender.

(b) At the termination or suspension of the membership the Member will be required to immediately change The Address officially on all platforms and mediums, for example but not limited to: with ASIC, the ATO, the business website, all online marketing, letterheads and email signatures, business cards, business documentation, Google My Business, or similar service and directory listings online and offline, etc.  If the Member fails to do so and continues to use The Address, the monthly membership fee will continue to be billed and you will be liable for such costs as per clause 4.6 of this these Terms; until such time that the Member entirely discontinues all use of The Address in every way and is evidenced accordingly (deliveries cease and online searches on the Member’s business omit The Address).

(c) In the event that United Co. is permanently unable to provide the service at The Address, we will offer a new business address in the same district and provide The Member with a minimum of 30 days notice of the change. If the Member cannot accept the new address, the Member can terminate the membership immediately without any penalty.

9.5 United Co.’s Liability

(a) The Member hereby agrees to indemnify and hold harmless United Co. from any and all liabilities arising out of use of services under the Membership.

(b) The Member agrees that when mail, email or deliveries are forwarded by United Co., it is at the Member’s own risk and United Co. cannot be held accountable for the condition nor the time taken to deliver. The Member agrees that United Co. cannot be held accountable for any outages in services or technologies that may prevent or delay such delivery of services, and that storage of mail and deliveries are at the Member’s own risk. The Member further agrees that United Co. cannot be held liable for the condition of goods on delivery, which have been received on the Member’s behalf.

10. UNITED CO. EMPLOYEES

If the Member and/or any employee, agent of the Member, or entity associated with the Member at any time during the term of this Agreement, or within a further 18 months after termination of this Agreement, employs any staff employed by United Co. the Member will pay United Co., by way of an introduction service fee, an amount equal to 30% of the new annual salary package of the replacement employee for United Co. This applies to all employees whether they are employed permanently or part time. The Member should not make unreasonable demands on the services of any employee of United Co. The Member will not abuse or mistreat (verbally or otherwise) any employee of United Co. 

11. MISCELLANEOUS

11.1 All formal notices must be in writing to the email address [email protected], as the email address for all correspondences.

11.2 The Member agrees that it will not refer to United Co. as their agent, as United Co. does not legally represent the Member’s firm or business under any capacity or under any circumstances.

11.3 These Terms comprise the whole agreement between the parties relating to the membership or service and supersedes all oral and email negotiations and communications except signing a written agreement, signed by both parties, where the written agreement supersedes this Terms.

11.4 This Agreement is interpreted and enforced in accordance with the law of the state of Victoria. United Co. and the Member accept the exclusive jurisdiction of the courts of Victoria. If any provisions of these Terms & Conditions are held void or unenforceable under the applicable law, the other provisions shall remain in force.
